Step 3 - File the annual return
To file your annual return you need to check and, if necessary, update some information about the company, including -
- company addresses
- director details
- shareholdings
- annual general meeting date and annual return reminder details.
Company Addresses
Confirm the required addresses by selecting Confirm as Correct. The required addresses are:
- Registered office address
- Address for service and
- Address for communication.
If you need to update or correct any of the address details, select Edit Company Addresses and you will be redirected to the online service you use to update company address details.
Tip | You will find the Edit Company Addresses option under the company addresses on the left hand side of the screen.
Directors
Confirm the details of each director, namely their:
- Full legal name
- Residential address
- and appointment date.
If needed, you can update or correct any of the directors' details. If a director has ceased to act, you can also record that change now.
To add a new director, select the Add Director option located under the director details on the left hand side of the screen.
Shareholdings
Confirm the shareholdings are correct by confirming the:
- Total number of shares
- Share Allocations, and
- Shareholders residential addresses.
If the shareholding is not correct, you can update it by selecting the Edit Shareholdings option located under the shareholding details on the left hand side of the screen.
Extensive shareholding
If your company has extensive shareholding you will be required to upload a full list of shareholders before you can submit the annual return. To do this save a document listing all share allocations to your hard drive. When prompted, browse your system to locate the document and upload.
Note | Companies listed on the New Zealand Stock Exchange (NZX), commonly referred to as 'listed companies', are not required to upload a list of share allocations.
Annual Return Information
- (Optional) You can change the filing month of your future annual returns - choose any month between February and November (there are no annual returns filed in December or January). 1
- You must provide the date of the company's most recent annual meeting. If an annual meeting was not held provide the date of resolution in lieu of a meeting.
- Provide the details of the person who filed the annual return and their designation. As an example, if you are the director, then 'Director' would be a suitable designation.
- (Optional) You can provide a mobile number to have reminders sent to in the future.
1 Note | Some people choose to change their filing month so that the annual return is due at a time that suits their business, such as their financial year end.
