How to object

 

Where notice is given that a company is to be removed from the Register (deregistered) a person may object on one or more of the grounds listed under section 321 of the Companies Act 1993. 

Anyone can object to the removal of a company from the New Zealand Register of Companies as long as it is no later than the date specified in the public notice. 

 


Objecting to a removal online

You can object to the removal of a company online for free.  To do this you must be logged on to the Companies Office website as a registered user.


Step one | locate the company

From the Online Services – Do It Now menu choose Object to a company removal.

Find the company by entering some search criteria (for example, either the company name or the company number) and select the search button.

From the search results displayed select the company you want to object to the removal of.


Step two | grounds for objection

  1. Applicant - Provide the name and address of the person who is objecting to the removal of the company.
  2. Ground for your objection - The Companies Act 1993 (s321) allows the Registrar of Companies to uphold an objection to the removal of a company in certain circumstances.  Select one of the six appropriate options from the list provided.
  3. Comments - You can provide any extra details to us you think are relevant to your objection.
  4. Supporting documentation - Attach evidence to support your objection by selecting the Browse... button.
  5. Select the Submit button to lodge your objection.

 

You will receive a response via email as to the outcome of your objection within five working days.

Objecting to a removal in writing

You can also object to the removal of a company in writing.  You will need to:

  1. Establish the grounds for your objection
  2. Check that you are within the time limit to lodge an objection (20 working days from the date of the Registrar's advertisement)
  3. Submit a written objection stating your grounds for and enclosing copies of any evidence to support your claim
  4. Send your objection via email to compliance@companies.govt.nz or by post to the following address:

You will receive a response in writing within five working days from the date it was received.
