Overseas companies
When an overseas company intends to cease to carry on business in New Zealand, it is required to give public notice of that intention (in the New Zealand Gazette and at least one major newspaper circulating in the area where the principal place of business in New Zealand is situated).
The company must then wait at least three months after giving public notice before submitting the required notice to the Registrar (That is, Form 19 - Notice of intention to cease to carry on business in New Zealand).
The date that the overseas company intends to cease business in New Zealand must be:
- included in Form 19,
- a date at least three months after the public notice was published, and
- a date on or after the Form 19 is filed with the Registrar.
Note | The date that the company intends to cease business in New Zealand does not have to appear in the public notice, only in the notice to the Registrar (Form 19). A copy of the advertisement is not required.
Step 1 | Give public notice
Overseas companies wishing to be removed from the register must give public notice in:
- The New Zealand Gazette
- At least one major newspaper where the principal place of business is situated.
Step 2 | Give notice to the Registrar
Three months after the date of the public notice, the company should file with Companies Office the completed Form 19: Notice by overseas company of intention to cease to carry on business in New Zealand.

Once the three month period of public notice has passed and the Companies Office has received the intention to cease or carry on business notice, the Company will be removed from the register.
