What happens next?
When we have accepted all of the director and shareholder consents the company is incorporated.
Certificate of incorporation
Once the company is incorporated we will send you the certificate of incorporation via email. You can also view a copy of the certificate online by searching the register (FREE).
Filing obligations
After incorporation, directors must:
- inform the Companies Office if there are changes to the various details of the company or its directors, and
- file an annual return, which essentially provides updated company details, and
- if required by the Financial Reporting Act 1993, file financial statements with the Registrar.
Annual return
Directors must file a company annual return which provides an updated summary of the company's details and annual meeting details. No financial information is required, however if the annual return is not completed on time, the Registrar may take steps to have the company removed from the register.
It is free to file the annual return online. We will send you a reminder before the annual return is due to be filed.
