Director & shareholder consents

If you have:

  • Reserved a company name and,
  • Completed an application for incorporation (including paying the fee)

you should have received an email containing the director and shareholder consent forms.

Note | You can also access the consent forms using the My Unfinished Business tool on your personalised dashboard.

 

This means the incorporation process is nearly complete and you are ready to proceed to the final step - submitting your director and shareholder consent forms. 

 

  • There are two options for submitting your consent forms - either upload online or return by fax.
  • A separate consent form must be uploaded or faxed for each director and each shareholder.
  • Depending on which option you choose, you will need to have access either to a scanner or fax machine to send us the signed forms.
  • We recommend that you use the consent forms we send you - they are pre-filled with all the necessary details for each director and shareholder (except for a signature).  You can also view or print off any of the pre-filled consent forms you need by accessing your incorporation application again.
  • Because of increased filtering of email by both ISPs and companies, you may not receive your consent form email.  Always check your junk, trash, deleted, or quarantined folders for the email.

 


Option one - scan and upload consents online

To upload your consents online you must first save your signed & scanned consent form either as a Portable Document Format (PDF) file or a Tagged Image File (TIFF).  

Remember to save each scanned consent as a separate file.

 

Option two - fax in consents

Fax your signed director and shareholder consent forms to: 0508 266 736 (0508 CONSENT).

 

Submitting your consents

  • Watch the time limit; send all the consent forms to us within 20 days of when the company name was reserved). 

    We will send you a short series of reminder emails but if this third and final step of the application process is not completed within the timeframe, all information will be deleted from the system and any fees paid will not be refunded.  You would need to begin the entire process again and pay the fees again.
  • Do not include a cover sheet or send any other documents for registration to this fax number.  It is a dedicated line for receiving director and shareholder consent forms.  The consent forms you send to this number are imaged as they are received, no paper document is generated.
  • Each consent form must be faxed as a separate A4-sized page, but you can send more than one page at a time.
  • Keep the original consent forms as part of the company's records.

 

Note | There might be multiple shareholder consent forms for a single shareholder.  Usuallly this is when they hold shares in several share allocations (for example, in their own right and as a joint shareholding with others).  The shareholder is required to sign and return all forms.

 

Processing your consents

We process consent forms during normal business hours by checking that:

  • the document image is readable and of good quality;
  • the consent has been given on the correct form, is completed and signed; and
  • the director and shareholder details match those supplied in your application for incorporation.

 

Accepted consent forms

When we have accepted the last consent form we will send you the Certificate of Incorporation via email.  We aim to process your consent forms promptly - processing will usually be completed within one hour (during business hours).  If you have not received the certificate of incorporation within this timeframe please contact us.

 

Rejected consent forms

If we reject a consent form for any reason we will email you to advise why the consent was rejected and may ask for it to be resent.  One of the most common reasons for rejecting consent forms is due to poor quality.  Another common problem is where the details on the consent form do not match those given in the application for incorporation. 

If the details on the consent are correct; the application for incorporation should be amended.  Where the details on the application for incorporation are correct; the consent form will need to be reprinted.
