Updating constitutions of overseas companies
Learn how companies registered as overseas companies in New Zealand record changes to their constitutions.
There are two different options depending on whether the overseas company is registered in Australia or in another jurisdiction.
For Australian overseas companies
The New Zealand Companies Office and the Australian Securities & Investments Commission (ASIC) have amended their legislation to allow for each jurisdiction to source documents from the other jurisdiction. This removes the need for companies to file the same information in both Australia and New Zealand. Read more…
There is no need for the company to provide an updated constitution (adoption, amendment or revocation) as these changes will be supplied by ASIC.
ASIC will send copies of the relevant documents to the New Zealand Companies Office which will be entered on the Overseas Register free of charge.
For all other overseas companies
To update the Companies Office with changes in the constitution of an overseas company from another jurisdiction:

Step 1 | Locate the company to update
From the Online Services - Do It Now menu choose Update Company Details then Constitution. Find the company by entering some search criteria (for example, either the company name or number).
From the 'Search Results' select the company to update.
Step 2 | My Tools
Click on the My Tools button to display a menu of your options.
From this menu choose the Constitution option.
What constitution changes can you make?
You can:
- File an amended constitution
(this includes adopting a constitution for the first time) or - Revoke a constitution.
