Updating director details for overseas companies

Learn how companies registered as overseas companies in New Zealand record changes for their directors.

There are two different options depending on whether the overseas company is registered in Australia or in another jurisdiction.

• Overseas companies (other jurisdictions)

Australian overseas companies

The New Zealand Companies Office and the Australian Securities & Investments Commission (ASIC) have amended their legislation to allow for each jurisdiction to source documents from the other.  This removes the need for companies to file the same information in both Australia and New Zealand.  Read more..

There is no need for the company to provide updated director details (appointments, resignations, address changes) as these changes will be supplied by ASIC.

ASIC will send copies of the relevant documents to the New Zealand Companies Office which will be entered on the Overseas Register free of charge.
 

Overseas companies (other jurisdictions)

To update or maintain director details with the Companies Office for an overseas company from another jurisdiction:

Step 1 | Locate the company to update

From the Online Services - Do It Now menu choose Directors - add, remove update.  Find the company by entering some search criteria (for example, either the company name or the company number).

From the Search Results select the company to update.

Step 2 | Record the changes

Click on the Directors tab.

A range of information is held for each company on the companies register.  Details of each company director held include their:

• Full legal name
• Residential address
• Date of appointment

When new directors are appointed, existing directors resign or their details change (name or address) these changes must also be recorded on the register.
